These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Fase AI LLC ("Fase AI," "we," "us," or "our"), a product of Olib AI, concerning your access to and use of the Fase AI platform and services.

By accessing or using our services, you agree to be bound by these Terms. If you disagree with any part of these terms, you do not have permission to access or use our services.

IMPORTANT: These Terms contain a binding arbitration provision and class action waiver that affect your legal rights.

2. Definitions

"Services" refers to all products, services, and features provided by Fase AI, including our AI-powered healthcare communication platform.

"Healthcare Provider" refers to medical, dental, veterinary, or other healthcare practices that subscribe to our services.

"Protected Health Information" (PHI) refers to any information about health status, healthcare provision, or payment that can be linked to an individual.

"Platform" refers to our website, applications, and all associated services.

3. Use of Services

3.1 Eligibility

•You must be at least 18 years old to use our services
•You must be a licensed healthcare provider or authorized representative
•You must provide accurate and complete registration information
•You must maintain the security of your account credentials

3.2 Acceptable Use

You agree to use our services only for lawful purposes and in accordance with these Terms. You agree NOT to:

Fase AI provides AI-powered communication tools for healthcare providers. Our services include automated patient communication, appointment scheduling, insurance verification, and related features.

•Our AI is a tool to assist healthcare providers, not replace professional judgment
•Healthcare providers remain fully responsible for all patient care decisions

5. Fees and Payment

5.1 Subscription Fees

•Fees are based on your selected subscription plan
•All fees are due in advance on a monthly or annual basis
•Prices are subject to change with 30 days' notice
•All fees are exclusive of applicable taxes

5.2 Payment Terms

•Payment is due upon receipt of invoice
•Late payments may result in service suspension
•We accept major credit cards and ACH transfers
•You authorize automatic renewal and billing

5.3 Refund Policy

We offer a 14-day free trial for new customers. After the trial period ends:

•All fees are non-refundable and payment obligations are non-cancelable
•No refunds or credits for partial months of service
•No refunds for unused services or features
•Cancellations take effect at the end of the current billing period
•Downgrading your plan will take effect at the next billing cycle

The only exceptions are: (1) if required by law, (2) for billing errors where we charged you incorrectly, or (3) if we terminate your account without cause. Any disputes regarding charges must be submitted within 60 days of the charge date.

6. Intellectual Property Rights

6.1 Fase AI Property

All rights, title, and interest in and to the services, including all software, technology, content, logos, and trademarks, are and will remain the exclusive property of Fase AI LLC and its licensors.

6.2 Your Content

You retain ownership of all content you submit through our services. By using our services, you grant us a limited license to:

•Process and store your content to provide the services
•Generate anonymized analytics and insights
•Comply with legal obligations

Note: We do NOT use your data to train our AI models. All AI training uses synthetic data only.

7. Privacy and Data Security

Your use of our services is subject to our Privacy Policy and HIPAA Compliance standards. You acknowledge that:

•We will enter into a Business Associate Agreement (BAA) as required by HIPAA
•You are responsible for obtaining patient consent for communications
•You will comply with all applicable privacy laws
•You will promptly notify us of any suspected data breaches

8. Disclaimers and Limitations of Liability

8.1 Service Availability

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

8.2 Limitation of Liability

IN NO EVENT SHALL FASE AI BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES.

Our total liability for any claims under these Terms shall not exceed the amount paid by you to Fase AI in the twelve (12) months preceding the claim.

8.3 No Medical Advice

FASE AI DOES NOT PROVIDE MEDICAL ADVICE. ALL MEDICAL DECISIONS MUST BE MADE BY QUALIFIED HEALTHCARE PROVIDERS. WE ARE NOT LIABLE FOR ANY HEALTHCARE OUTCOMES OR DECISIONS.

9. Indemnification

You agree to indemnify, defend, and hold harmless Fase AI LLC, Olib AI, and their officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from:

•Your use of the services
•Your violation of these Terms
•Your violation of any third-party rights
•Any medical or healthcare decisions or outcomes
•Your violation of any applicable laws or regulations

10. Termination

10.1 Termination by You

You may terminate your account at any time by providing written notice to us at least 30 days before the end of your current billing period. Termination will be effective at the end of the current billing period.

10.2 Termination by Fase AI

We may terminate or suspend your account immediately, without prior notice, if:

•You breach these Terms
•You fail to pay fees when due
•We suspect fraudulent or illegal activity
•Required by law or court order

10.3 Effect of Termination

Upon termination, your right to use the services will immediately cease. We will retain and use your information as necessary to comply with our legal obligations, resolve disputes, and enforce our agreements.

11. Dispute Resolution

11.1 Mandatory Arbitration

ANY DISPUTE ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL BE RESOLVED THROUGH BINDING ARBITRATION IN ACCORDANCE WITH THE COMMERCIAL ARBITRATION RULES OF THE AMERICAN ARBITRATION ASSOCIATION. THE ARBITRATION SHALL BE CONDUCTED IN ATLANTA, GEORGIA.

11.2 Class Action Waiver

YOU AGREE THAT ANY DISPUTES SHALL BE BROUGHT IN YOUR INDIVIDUAL CAPACITY ONLY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

11.3 Exceptions

Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights.

12. General Provisions

12.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Georgia, without regard to its conflict of law provisions.

12.2 Entire Agreement

These Terms, together with our Privacy Policy, HIPAA Compliance documentation, and any applicable Business Associate Agreement, constitute the entire agreement between you and Fase AI regarding the services.

12.3 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect.

12.4 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.

12.5 Waiver

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

12.6 Force Majeure

Neither party shall be liable for any failure or delay in performance under these Terms which is due to fire, flood, earthquake, pandemic, epidemic, governmental actions or orders, civil unrest, acts of God, acts of terrorism, cyber attacks, internet service provider failures, utility failures, strikes, labor disputes, or other causes that are beyond such party's reasonable control ("Force Majeure Event").

The affected party must:

•Promptly notify the other party of the Force Majeure Event
•Use reasonable efforts to mitigate the effects
•Resume performance as soon as reasonably practicable

If a Force Majeure Event prevents performance for more than 60 consecutive days, either party may terminate the affected services upon written notice, with no penalty or liability solely due to such termination.
